Yes, PhD programs are possible on Distance Mode. As far as the mandatory requirements are concerned, every university has their own set of rules & regulations.

If your degree was not overlapping with each other. it should be legal. But it will be advisable to not show your B.Com degree while applying for MBA. As there can be no of questions to justify why you went for B.Com after M.com.
