It's unfortunate that your friend has not cleared his 3rd year B.Com and has landed up a backlog which has delayed his graduation.
Your friend needs to contact the institute officials personally for specific admission details as it differs from one college to another. He may also consult your previous college, if they can re-consider your case. I would request you to contact your Head of Department regarding the procedure set forth by the college.

CAT is an exam of precision. it has 3 major sections- Quantitative aptitude, qualitative and English section. So start practicing as much as you can. Once you are acquaint with the basic knowledge, build up your stronger areas to score.
Read newspaper and magazines on regular basis for improving your reading ability. more that speed you should focus on your accuracy. Even if you are able to solve only 10- 20% you can get a high percentile given the responses are right.

If you do not wish to take a break from your job environment, you may prefer part time/distance education courses. But if you are willing to risk job and salary with dreams and ambitions for a career advancement, it is advisable you prefer a full time AICTE approved MBA. The CS and CA are the totally different. The CS course has its own limitation and scope.
Firstly CS is related to Law matters of companies. The company secretary looks after legal compliance of company. The scope of company secretary is increased now. Every company has to appoint company secretary if the paid up capital exceeds the limit.
The new company act 2013 has increased the scope by inserting section 204 which apply to every company. in this section the company has to conduct secretarial audit. this has expanded the scope for CS course.
The CA on other hand has legal edge over tax audit and statutory audit.
